2.1合同法律事务:指导企业建立健全合同管理制度、为企业量身定做各类不同类型的合同范本,防范和化解合同法律风险;草拟和审核企业各类合同,确保合同的规范性和有效性。
2.1 Contract legal affairs: direct the enterprise to establish and perfect the contract management system and provide the enterprise with customized contract samples of various types; prevent and neutralize contract legal risks, draft and review contracts of all kinds of the enterprise to ensure they are regulated and effective.
2.2公司法律事务:指导管理层制定科学合理的股权结构、公司章程、管理制度、授权制度等,使企业有效防范因公司治理结构不完善而导致的法律风险;为企业重大投资、并购、重组等进行律师尽职调查;应邀参加企业重大投资、并购、重组的谈判并提供法律意见。
2.2 Enterprise legal affairs: direct the managers to make scientific and rational equity structure, enterprise statue, management system, authorization system and so forth to effectively prevent the enterprise from legal risks induced by imperfect corporate governance structure. Make the due diligence investigation by the lawyers for major investment, merge and acquisition, regroup and so forth by the enterprise. Participate in the negotiations of major investment, merge and acquisition and regroup by the enterprise on invitation and provide legal advice.
2.3劳资法律事务:以人力资源管理的法律风险控制为主线,将人力资源管理内容划分为十个专项模块,根据企业反馈的信息,掌握企业各模块的潜在风险,并将涉及的风险点、职责、流程、制度、表单等资料进行统筹整理、规划完善。构建企业用工风险防范体系及劳动争议预警机制,实现企业人力资源管理的标准化、制度化、流程化。
2.3 Labour and capital legal affairs: Divide human resource management into 10 special modules with legal risk control of human resource management as the principal line. Based on the feedback of the enterprise, master the potential risks to the enterprise in different modules, arranging and perfecting data such as risk points involved, responsibility, procedure, system, sheet and so forth. Construct the labour risk prevention system early warning mechanism for labour disputes of the enterprise to make human resource management in the enterprise standard, institutionalized and procedural.
2.4诉讼法律事务:接受企业委托,代理企业进行民事、经济纠纷的调解、和解、代理企业进行民事、刑事、经济和行政案件的诉讼或仲裁。
2.4 Lawsuit legal affairs: as entrusted by the enterprise, act on behalf of the enterprise to mediate or reconcile in civil and economic disputes. Act on behalf of the enterprise to file a civil, criminal, economic or administrative lawsuit or arbitrate.
二、维护方式
以口头、书面、邮件等方式就相关法律、法规、经营问题提供具体法律意见。根据企业需要,不定期现场办公、回访、指导处理实际法律问题。

五、保密规则
Ⅴ Confidential agreement
无论合作关系是否建立,双方均须承诺对洽谈期间从对方获取的任何书面文件(服务方案说明、规章制度、协议等)和洽谈内容保密,未经对方书面授权,不得以任何方式泄露,所有接触上述内容的人员均负有保密义务,如有违反,将追究法律责任。
Whether the cooperation is established or not, both parties pledge that any written document (service plan instruction, rules and regulations, agreement and so forth) and contents of negotiations obtained from each other should be kept confidential during the negotiation period. Any form of leakage is forbidden without written authorization from the other party. All the staff knowing the above-mentioned contents bear the duty of confidentiality. And anyone who violates this should be prosecuted.
